Richard E. Climan is a partner in Dewey & LeBoeuf's business department and a member of the firm's global Executive Committee. He regularly negotiates and advises clients on a broad variety of acquisition transactions and corporate governance matters. In that context, he has advised the boards of directors and senior management of some of the most prominent companies in the technology and life sciences sectors.
Mr. Climan is a frequent author and lecturer on corporate governance and M&A-related topics. As a member of the adjunct faculty at UCLA School of Law, Mr. Climan co-teaches (with Vice Chancellor Leo Strine of the Delaware Court of Chancery) a course titled Real World M&A. He is the Vice Chair of the Securities Regulation Institute (presented by the Corporate Counsel Center of Northwestern Law School), and he co-chairs the annual National Institute on Negotiating Business Acquisitions (presented by the American Bar Association). Mr. Climan's other past speaking engagements include: the Tulane Corporate Law Institute in New Orleans; the Corporate Counsel Institute in Chicago and San Francisco; and the University of Texas Technology Law Conference in Austin. Mr. Climan has also participated in presentations at Harvard, Columbia and Stanford Law Schools. Mr. Climan has lectured to the staff of the Securities and Exchange Commission and has appeared as a commentator on CNBC’s nationally broadcast “Squawk Box” program and on Bloomberg News.
For more than 20 years, Mr. Climan has been an active member of the Committee on M&A, an international committee of the ABA’s Section of Business Law with more than 3,000 members. He was the Chair of that Committee from 2002 to 2006, and currently serves on the Committee's Executive Council. He is also a member of the Program Advisory Board of the Harvard Law School Forum on Corporate Governance and Financial Regulation.
The National Law Journal included Mr. Climan on its most recent list of the 100 most influential lawyers in America. In addition, in 2010, for the fifth consecutive time, Mr. Climan was named one of the 500 leading lawyers in America by Lawdragon. He was also named one of the top 100 lawyers in California by The Daily Journal in 2008. Mr. Climan is included in The Best Lawyers in America; the International Who’s Who of Corporate Governance Lawyers; and the Chambers Global Guide to the World’s Leading Lawyers.
